These Terms of Service ("Terms") govern your access to and use of the Greenleafhub website and services. By visiting or using greenleafhub.com and its related websites and services, you agree to be bound by these Terms. If you do not agree, do not use the site or engage our services. 1. Scope and acceptance

These Terms apply to your use of our website and to any professional services agreement you enter into with Greenleafhub LLC ("we", "us", "Greenleafhub"). Service engagements are governed by separate written agreements ("Engagement Agreement") which take precedence over these Terms to the extent of any inconsistency. By using the site or requesting services, you represent that you have authority to bind the organisation you represent and that you accept these Terms on its behalf.

2. Services and proposals

We provide consulting services that may include diagnostics, KPI design, roadmaps, governance frameworks, and execution support. Proposals and statements of work describe scope, deliverables, fees, and timelines. Unless otherwise specified, proposals are valid for thirty (30) days. Fees and payment terms are set out in the Engagement Agreement. You are responsible for providing accurate information necessary for us to perform the services. We are not responsible for third-party delays or for consequences resulting from inaccurate or incomplete information you provide.

3. Intellectual property

All materials, tools, templates, reports, and deliverables created by Greenleafhub and provided to you remain our intellectual property unless otherwise agreed in writing. On full payment of fees, we grant you a perpetual, non-exclusive, non-transferable licence to use deliverables solely for internal business purposes. You may not redistribute, resell, or publish our proprietary templates or materials without our prior written consent. We retain the right to use anonymised, aggregated examples of work for marketing and portfolio purposes, provided no confidential or personally identifiable information is disclosed.

4. Confidentiality

Each party will keep the other party's confidential information secure and not use it except to perform obligations under the Engagement Agreement. Confidential information excludes information that is publicly available, already lawfully in possession, or independently developed without using the other party’s confidential information. We may engage subcontractors under confidentiality obligations to deliver services. If disclosure is required by law, the disclosing party will provide reasonable notice to the other party where lawful and cooperate on protective measures.

5. Limitation of liability

To the fullest extent permitted by law, Greenleafhub’s total liability in connection with any services, deliverables, or the site shall not exceed the fees paid by you for the applicable engagement in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, punitive, or special damages, including loss of profits, revenue, or business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury resulting from negligence or for other liabilities that cannot be excluded or limited by law. Clients are responsible for decisions and implementations based on our recommendations; we provide guidance and professional judgement but cannot guarantee specific business outcomes due to market and operational variability.

6. Data protection and privacy

Our Privacy Policy (linked below) explains how we collect and process personal data in connection with your use of the site and our services. By engaging us you consent to the processing described in that policy. We use reasonable technical and organisational measures to protect data, but you acknowledge that no internet transmission or storage system is completely secure. 7. Termination

Either party may terminate an Engagement Agreement in accordance with its terms. If an engagement is terminated early, you will pay for services performed and reasonable costs incurred up to the termination date. Termination does not affect accrued rights, obligations, or liabilities, including confidentiality, IP licences, and payment obligations. If you materially breach these Terms or an Engagement Agreement and fail to cure within a specified period after notice, we may suspend services until the breach is remedied.

8. Governing law and disputes

These Terms and any Engagement Agreement are governed by the laws of the State of Oregon, United States, without regard to conflict-of-law principles. Parties will attempt to resolve disputes amicably; if unresolved, disputes shall be brought in the state or federal courts located in Multnomah County, Oregon. Nothing prevents either party from seeking injunctive relief in any competent court to protect intellectual property or confidential information.

9. Changes to terms

We may update these Terms from time to time. Material changes will be posted to this page with an updated effective date and, where appropriate, we will provide direct notice to clients.
